1. Agreement to Terms

Nexora Cyprus provides corporate administrative and advisory services including, but not limited to:
- Cyprus company formation and incorporation assistance
- Nominee director and nominee shareholder services
- Company secretarial and registered office services
- Annual compliance management (HE32, UBO register, AGM documentation)
- Accounting, bookkeeping, and audit coordination
- VAT registration and compliance
- Tax structuring advisory and IP Box advisory
- Corporate restructuring and group structure advisory
Important: The services and content provided by Nexora Cyprus are corporate administrative services and general advisory in nature. They do not constitute legal advice, tax advice, or financial advice within the meaning of any regulated activity. Where regulated legal or tax advice is required, this is provided by qualified Cyprus advocates and ICPAC-member accountants in our professional network. You should always seek independent qualified professional advice specific to your circumstances before making any legal, tax, or financial decisions.
3. Eligibility
Our services are available to individuals who are at least 18 years of age and who are engaging our services for lawful business purposes. By using our services, you represent and warrant that:
- You are at least 18 years of age.
- You are engaging our services for a lawful business purpose.
- You have the legal capacity to enter into a binding contract in your jurisdiction.
- The information you provide to us is accurate, complete, and not misleading.
We reserve the right to decline to provide services, or to terminate an existing engagement, at our sole discretion, including where we reasonably believe eligibility conditions are not met or where AML/KYC requirements cannot be satisfactorily completed.
4. Client Obligations
By engaging our services, you agree to:
- Provide accurate information: Supply accurate, complete, and up-to-date information to us at all times, including KYC documentation, identity verification, source of funds information, and any other information we request.
- KYC compliance: Complete our Know Your Customer (KYC) due diligence process to our satisfaction before any services commence. Failure to complete KYC will prevent us from providing services.
- AML cooperation: Cooperate fully with any anti-money laundering, counter-terrorism financing, or sanctions screening obligations, including promptly responding to information requests.
- Notify changes: Promptly inform us of any changes to your personal information, corporate structure, beneficial ownership, or circumstances that may affect the services or our regulatory obligations.
- Lawful use: Use our services only for lawful purposes and not to facilitate any illegal, fraudulent, or improper activity.
5. Fees & Payment
Fees for our services will be as quoted to you in writing prior to commencement of work or as set out in our published fee schedule at nexoracyprus.com/pricing. All fees are quoted exclusive of Cyprus VAT (currently 19%) unless expressly stated otherwise. VAT will be added where applicable.
Payment is due in accordance with the payment terms stated in our engagement letter or invoice. We reserve the right to suspend or terminate services where fees are not paid by the due date. Government fees, registration fees, notary costs, apostille charges, and other disbursements are charged separately at cost unless otherwise stated.
6. Intellectual Property
All content on this website — including text, graphics, logos, images, guides, articles, calculators, and tools — is owned by or licensed to Nexora Cyprus and is protected by Cyprus and international intellectual property laws. You may not reproduce, distribute, modify, publish, or create derivative works from any content on this website without our prior written consent.
Personal, non-commercial use of the website for informational purposes is permitted provided you do not remove any proprietary notices.
7. Disclaimer of Warranties

You agree to indemnify and hold harmless Nexora Cyprus, its principals, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or the rights of any third party; (c) any inaccurate or misleading information provided by you; or (d) any misuse of our services.
10. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms — including disputes regarding their existence, validity, or termination — shall be subject to the exclusive jurisdiction of the courts of Cyprus.

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.
